This Agreement is entered into between Infused Media LLC (“Service Provider”) and the undersigned client (“Client”). By engaging Infused Media LLC for website maintenance services, the Client acknowledges and agrees to the terms set forth herein.
The monthly maintenance retainer includes the following services, as applicable to the Client’s active plan:
- WordPress core, theme, and plugin updates
- Website security monitoring and malware scanning
- Offsite backup management (frequency determined by plan tier)
- Uptime monitoring and basic performance checks
- Minor content edits not exceeding one (1) hour per billing cycle
- Monthly summary report of updates and site health
Services not listed above — including new page builds, design changes, third-party integrations, WooCommerce changes, or content rewrites — are considered out-of-scope and billed at the applicable hourly rate.
Work performed beyond the scope of the active plan is billed at the following rates:
| Service Type | Rate |
|---|---|
| Standard overage / additional development | $50–$55 / hour |
| Rush / priority turnaround (under 24 hrs) | 1.5× standard rate |
| Emergency after-hours support | By quote |
Overage work will not begin without prior written or email approval from the Client.
If the Client manages their own hosting account, the following applies:
- Infused Media LLC is not responsible for server downtime, outages, or performance issues caused by the hosting provider.
- Infused Media LLC is not liable for data loss resulting from hosting provider failures, account lapses, or expired billing.
- Hosting account credentials remain the property and responsibility of the Client.
- Infused Media LLC may request temporary access to the hosting environment solely to perform contracted maintenance. This access will not be retained beyond the scope of the task.
Where Infused Media LLC provides hosting as a contracted service, these plans are designed for small to medium websites and are not intended for high-traffic or enterprise-scale applications.
| Parameter | Guideline |
|---|---|
| Monthly visitor traffic | Up to ~5,000 unique visits/month |
| Concurrent users | Suitable for standard SMB traffic; not for viral/flash traffic events |
| Bandwidth | Unmetered within provider fair-use policy |
| E-commerce / high DB load | May require plan upgrade or dedicated environment |
If the Client’s website consistently exceeds these thresholds, Infused Media LLC will notify the Client and recommend an appropriate upgrade. Infused Media LLC is not liable for degraded performance resulting from traffic beyond plan guidelines.
- Losses from third-party plugin, theme, or platform conflicts following updates
- Revenue loss or business interruption from website downtime
- Security breaches of any kind, including those originating from the hosting environment, third-party plugins, themes, or platform vulnerabilities. Where Infused Media LLC has performed plugin and software updates on at least a quarterly basis, Infused Media LLC bears no liability whatsoever for any security incident, data breach, or compromise — regardless of origin or cause.
- Issues from changes made by the Client or a third party without prior notice to Infused Media LLC
It is strongly recommended that the Client maintain independent backups of all critical business data.
- All plans are billed monthly via Stripe on the Client’s billing date.
- Invoices are generated automatically and sent by email prior to charge.
- Failed payments must be resolved within five (5) business days to avoid service interruption.
- Maintenance services may be suspended on accounts with outstanding balances exceeding 10 days.
- Overage invoices are issued separately and due within 14 days of receipt.
- Either party may terminate this agreement with 30 days’ written notice.
- All access credentials provided to Infused Media LLC will be returned or deleted upon request.
- No partial-month refunds will be issued for the final billing cycle.
- Outstanding overage balances remain due regardless of termination.
